Patient Referral Campaign Rules

This patient referral campaign (the “Campaign”) is sponsored by PurposeMed Inc., doing business as Freddie (“Freddie”). The Campaign begins on May 21, 2024, at 12:00 a.m. Pacific Time (“PT”) and ends on August 1, 2024, provided it’s not terminated earlier by Freddie (the “Campaign Period”). Participation in the Campaign constitutes your full and unconditional acceptance of, and agreement to be legally bound by, these Campaign rules (the “Campaign Rules”).

ELIGIBILITY:
To be eligible to participate in the Campaign, you must: (a) be a resident of Canada (excluding Québec), (b) have reached the age of majority in your province or territory of residence, and (c) be one of the following:

(i) a person (“Referrer”) who has generated a unique Campaign referral link (“Referral Link”) to share with a person (the “Referee”) they would like to refer to the Campaign, and the Referee has consented to the Referrer entry in the Campaign, or

(ii) a Referee who has registered for a Freddie account.

HOW TO ENTER:
No purchase is necessary. Entrants acknowledge and accept the decisions of Freddie, or those acting on behalf of Freddie, as final and binding, without right of appeal, in all respects, including, without limitation, as to eligibility and/or disqualification of entries.

Disqualification: Entries that are incomplete, irregular, have been submitted through incorrect means, or do not conform to or satisfy any condition of these Campaign Rules shall be disqualified. FREDDIE RESERVES THE RIGHT TO DISQUALIFY ANY entrant WHO ENGAGES IN ABUSIVE BEHAVIOR OR ATTEMPTS TO MANIPULATE THE CONTEST. This includes but is not limited to:
- Creating fake accounts or fictitious referrals.
- Using bots or automated systems to generate entries.
- Any other activities that provide an unfair advantage or undermine the integrity of the Campaign.

Entry: For Referrers, every Referee who registers for a Freddie account using your Referral Link and consents to your participation in the Campaign will count as an entry. For Referees, registering for a Freddie account will earn you one entry.

PRIZING:
PRIZE(S): The following prizes (“Prize”) will be available:

Charitable Donations: For each confirmed referral made during the Contest Period, Freddie will donate $25 to the Canadian Foundation For AIDS Research (“CANFAR”). The total donation will not exceed $25,000.

Grand Prize (1 available): One trip for two to WorldPride Washington,  DC 2025, including covering airfare and accommodations for five nights, along with an additional C$3,000 in spending money. Additionally, the grand prize includes Freddie x Keith Haring branded merchandise: two hats, two t-shirts, and two swim briefs.

Additional Prizes: Entrants can also win the following additional prizes:
- Freddie x Keith Haring Complete Collection (~250 available): Each pack includes one hat, one t-shirt, and one swim brief.
- Freddie x Keith Haring T-Shirt + Hat Set (~700 available): Each set includes one hat and one t-shirt
- Freddie x Keith Haring Hat (~2000 available): Each prize consists of one hat.

GENERAL: Prizes must be accepted as awarded and are not transferable or refundable. No substitutions except at Freddie’s option. All prizes are subject to availability and Freddie reserves the right, in its sole and absolute discretion, to substitute the Prizes or a component thereof with a prize of equal or greater value.

Winner Selection Process:
Prize Draw:
At the end of the Contest Period, a prize draw will be conducted to distribute the prizes among entrants. Entrants earn one draw entry per referral. Prizes will be awarded in descending order of value, maximizing the benefit to entrants with multiple entries. However, each entrant is eligible to win only one prize pack. The odds of winning a Prize depend on the number of eligible entries received during the Campaign Period and, subject to any limits on the number of entries specified in these Campaign Rules, the number of entries by the entrant.

Freddie will email the selected potential winners within two weeks following the end of the Campaign Period. Freddie will inform the winners shortly after their selection of the identity of the Prizes and deliver the same within three weeks of receiving the requisite information and documents from the applicable winner.

BEFORE BEING DECLARED A WINNER, each potential winner must sign and return within five (5) business days of notification a declaration and release prepared by Freddie, which, among other things: (i) requires the eligible winner to correctly answer a time-limited mathematical skill-testing question without mechanical or other aid; (ii) confirms compliance with these Campaign Rules; (iii) acknowledges acceptance of the Prize as awarded; (iv) agrees to release the Freddie from any and all liability whatsoever in connection with the Campaign.

If the eligible winner: (a) declines the Prize; (b) fails to correctly answer the skill-testing question; (c) fails to return the properly executed Campaign documents within the specified time, or (d) fails to provide Freddie with any information required to provide the Prize to the eligible winner in a timely manner, then he/she will be disqualified (and will forfeit all rights to the Prize) and Freddie reserves the right, in its sole and absolute discretion, to select an alternate eligible entry. If a selected potential winner fails to receive a Prize in accordance with these Campaign Rules, an alternate potential winner will be drawn. Any such alternate potential winner will be required to comply with these Campaign Rules, including the above requirements related to the declaration and release.

General Conditions:
In consideration of the opportunity to enter the Campaign, each entrant, by entering the Campaign, grants to Freddie a paid-up, unlimited, irrevocable, non-exclusive, perpetual, royalty-free, sublicensable, transferrable and worldwide license to use its entry (including the Feedback) for any purpose.

Freddie reserves the right, at its sole discretion, to disqualify any individual (and all of his or her entries) who tampers with the entry process.If any taxes or levies are applicable to Prize, it shall be the sole responsibility of the Campaign winner to fulfill any associated tax obligations. Freddie assumes no liability for the winner's tax liabilities, and the winner agrees to indemnify and hold Freddie harmless in this regard.

This Campaign is subject to all applicable federal, provincial and municipal laws and the Campaign is void where prohibited by law.By entering the Campaign, entrants agree to indemnify and hold Freddie harmless from any claims, liabilities, damages, or expenses arising in connection with the Campaign. Entrants also release Freddie from any and all liability related to their participation in the Campaign.

Freddie reserves the right to cancel, suspend, withdraw or amend this Campaign in any way, without prior notice or obligation.

Freddie accepts no responsibility for loss, damage or claims caused by or resulting from the Campaign or a Prize.

Freddie will not be liable in the event of an error, technical problem, computer virus, bugs, tampering, unauthorized intervention, fraud, technical failure or any other cause beyond the reasonable control of Freddie that interferes with the proper conduct of this Campaign as contemplated by these Campaign Rules.

Freddie reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to Freddie – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Campaign; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Entry entered (or purportedly entered) for the purposes of this Campaign; and/or (iii) for any other reason Freddie deems necessary, in its sole and absolute discretion, for the purposes of administering this Campaign per these Campaign Rules. Failure to provide such proof to the satisfaction of Freddie in a timely manner may result in disqualification in the sole and absolute discretion of Freddie. The sole determinant of the time for the purposes of a valid Entry in this Campaign will be the Campaign server machine(s).

Freddie respects your right to privacy. By entering this Campaign, each entrant expressly consents to Freddie, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her entry only for the purpose of administering the Campaign and in accordance with Freddie’s Privacy Policy (available at: https://www.gofreddie.com/terms) unless the entrant otherwise agrees to receive further communications from Freddie.
